We are pleased to announce the inaugural 12J Indaba 2017. This first of its kind masterclass is born out of necessity for all stakeholders in the ecosystem to better understand the inner-workings and nuances of Section 12J legislation.
The 12J Indaba is a platform for Section 12J professionals to discover and navigate the complexities, as well as the most recent tax rulings associated with Section 12J legislation enabling you to master, structure andmaximise shareholder returns.

Donald and Graham will be speaking to Optimising a Section 12J VCC's capital structure for exit focusing on the tax impact at exit of a VCC's capital structure and its approach towards management incentivisation.
Jeff Miller CA(SA), CEO of VCMS.
Jeff has over 30 years of investing in unquoted companies and is a start-up specialist. Jeff co-founded Brandcorp (listed on the JSE in 1997), KNR Flatrock, Balboa Finance, Born Free Properties, Eurosuit, Bride & Co, Redwood Capital and Seed Engine, and is a founder of Grovest and VCMS, the pioneers of 12J VCC’s in SA. Jeff too founded Metta Capital Managers, the first 12J fund of funds offering to the market. Jeff is a member of the subcommittee of SAVCA, focused on Venture Capital. Jeff will take attendees through the set up and management of the core of a healthy and successful VCC.

Erenst specialises in corporate tax planning; restructuring of corporate entities; share incentive schemes; inward and outward investment; offshore structures and financing; VAT; estate planning; wills and trusts; and exchange control. He is past chairman of the Taxation Committee of SAICA and current chairman of the Institute's Exchange Control Committee. Ernest’s presentation will examine the requirements and potential pitfalls when a VCC wishes to make an investment in a qualifying company involved in the hospitality industry.
Gaurav Nair Co-founder of Jaltech and MD of the JSS Empowerment Mining Fund.
Gaurav is a qualified actuary with extensive structured finance experience. Gaurav is the Co-Founder of Jaltech and MD of the JSS Empowerment Mining Fund, a Section 12J VCC formed in partnership between Jaltech and listed construction and mining company Stefanutti Stocks. Jaltech specialises in forming and administrating Section 12J VCCs. Gaurav will speak on how to commercialise Section 12J and how best to structure Section 12J VCC’s to increase your ROI.
Neill Hobbs CA(SA), CEO Anuva Investments.
Neill is a registered auditor and senior business rescue practitioner. For the last 14 years, he has been a partner of Hobbs Sinclair where his skills have been utilised in building an accounting practice, specialising in tax structures. Neill will be speaking to the valuation of Section 12J qualifying companies in terms of IPEV.

Jan is an admitted attorney and has extensive experience having been a compliance officer for over 10 years. Jan will be taking attendees through the practical implications of being a registered financial services provider.
Mansoor Parker Executive at ENSafrica.
Mansoor is an Executive in the tax department at ENSafrica who specialises in corporate tax, international tax and exchange control with a focus on VCC’s, energy taxation and taxation of major sports events. Mansoor will be covering the current trends and recent developments in Tax VCC structures at the Indaba.
